These Terms of Service ("Terms") form a binding agreement between you and Katallst, Inc., a California corporation ("Katallst," "Company," "we," "us") governing your access to and use of the Katallst website, mobile applications, and related services (collectively, the "Platform"), which connect fans ("Fans") with content creators ("Creators") for paid one-on-one video calls ("Calls"). Fans and Creators are together referred to as "Users."
By creating an account, purchasing a Call, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.
You must be at least 18 years old to create an account or use the Platform in any capacity, whether as a Fan or a Creator. By using the Platform, you represent and warrant that you are 18 or older and legally capable of entering into this agreement. Katallst reserves the right to require identity or age verification at any time, including through a third-party verification provider, and to immediately suspend access pending verification. Users who fail or refuse verification will have their accounts terminated.
Katallst currently uses payment-based signals (requiring a valid credit or debit card) as an additional age indicator for Fan accounts. Katallst may implement mandatory identity verification in the future and will update these Terms accordingly.
Creators are individually vetted and approved by the Katallst team prior to being permitted to accept Calls. Approval as a Creator does not create an employment relationship; Creators are independent contractors and are not employees, agents, joint venturers, or partners of Katallst.
Katallst provides a technology platform that facilitates the scheduling, payment, and hosting (via our video infrastructure provider) of live video Calls between Fans and Creators. Katallst is not a party to, and does not control, direct, or supervise the content of, any individual Call in real time. Katallst does not produce, script, or guarantee the content, quality, or conduct of any Call.
Because Calls occur in real time, Katallst cannot review content before it occurs. Katallst relies on Creator vetting, the reporting tools described in Section 5, and post-report review to enforce these Terms. This is a best-efforts safety process, not a guarantee that no violation will occur during any given Call.
You agree that you will not, during a Call or anywhere on the Platform:
Violation of this Section by either a Fan or a Creator will result in immediate suspension of the Call, and may result in permanent termination of the violating party's account under Section 8, regardless of which party (Fan or Creator) committed the violation.
Before joining any Call, both the Fan and the Creator must affirmatively consent, through an on-screen prompt, to the practices described in this Section. Neither participant may join a Call until this consent has been affirmatively provided. Declining the prompt will prevent access to the Call.
Calls are not recorded — no video or audio is captured or stored. Where supported by a User's browser, the Platform generates a rolling text transcript of the Call locally as it happens, using the browser's built-in speech-to-text capability. If either User activates the in-call "Report" feature, the Call ends immediately and that transcript is saved and transmitted to the Katallst safety team for review. No transcript is retained if no report is made.
Because California law (Penal Code § 632) requires the consent of all parties to record or transcribe a confidential communication, Katallst will not enable this reporting-triggered mechanism for a given Call until both participants have affirmatively agreed to it. You agree that your continued participation in a Call after accepting this prompt constitutes ongoing consent to that Call's transcription mechanism.
Reported transcripts are accessible only to authorized Katallst safety personnel and, where a transcript was generated, to the third-party speech-recognition service used by the User's browser (in Chrome and Edge, Google) solely as necessary to produce the text. Katallst does not sell reported transcripts or use them for marketing.
Katallst may disclose a reported transcript or related account information to law enforcement or other government authorities where: (a) Katallst is compelled to do so by a valid subpoena, warrant, or other legal process; (b) Katallst has a good-faith belief that disclosure is necessary to prevent imminent harm to a person; or (c) the transcript depicts apparent child sexual abuse material or child exploitation, in which case Katallst is legally required under 18 U.S.C. § 2258A to report it to the National Center for Missing & Exploited Children's CyberTipline, which in turn may share it with law enforcement. Users acknowledge and consent to disclosure under these circumstances as a condition of using the Platform.
Reported transcripts are retained only as long as necessary for safety review and any applicable legal reporting or preservation obligation, after which they are deleted, except where Katallst is required to preserve them longer under Section 5.2(c) or applicable law.
Fans pay for Calls on a one-time, per-purchase basis through the Platform's designated payment processor, currently Stripe. By making a purchase, you also agree to Stripe's applicable terms of service and privacy policy governing its processing of your payment information. Prices are set by Creators or Katallst and displayed prior to purchase.
If a Creator fails to join a scheduled Call within ten (10) minutes of the scheduled start time, the Fan is entitled to a full refund of that purchase. Refunds are not otherwise guaranteed once a Call has taken place, except where required by law or granted at Katallst's discretion. To request a refund, contact us at delia@katallst.com.
Creators are paid out according to the payout schedule and method disclosed in the Creator dashboard. Katallst's current platform fee is 20% for U.S.-based Creators and 30% for international Creators, deducted from each booking before payout. This fee may be updated with 30 days' prior notice. Katallst may withhold, delay, or reverse a payout pending investigation of a reported violation involving that Creator.
Users agree not to dispute legitimate charges with their payment provider without first contacting Katallst support at delia@katallst.com. Fraudulent or abusive chargebacks may result in account suspension.
Katallst does not claim ownership of the live content of your Call. By using the Platform, you grant Katallst a limited license to process, transmit, and (solely for reported Calls) temporarily store transcript data as necessary to operate the reporting and safety features described in Section 5. You retain ownership of your own likeness and any content you separately upload to your profile, subject to a license permitting Katallst to display it on the Platform for its intended purpose.
Katallst has a zero-tolerance policy toward violations of Section 4 (Prohibited Conduct). Upon confirming that an account, Fan or Creator, has violated Section 4, Katallst will immediately and permanently terminate that account effective on the first confirmed violation. Katallst does not issue warnings and does not allow repeat opportunities for Section 4 violations.
Katallst may also suspend or permanently terminate any account at any time and without prior notice if it reasonably believes that account otherwise poses a risk to other Users or to the Platform, or for repeated unfounded reports made in bad faith. Termination does not entitle a User to a refund of amounts already earned or spent in compliance with these Terms.
THE PLATFORM AND CALLS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. KATALLST DOES NOT WARRANT THAT CREATORS WILL BEHAVE LAWFULLY OR APPROPRIATELY DURING A CALL, AND DISCLAIMS ALL LIABILITY FOR THE CONDUCT OF ANY USER, TO THE FULLEST EXTENT PERMITTED BY LAW.
TO THE FULLEST EXTENT PERMITTED BY LAW, KATALLST'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF YOUR USE OF THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KATALLST IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). KATALLST IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
You agree to indemnify and hold harmless Katallst, its officers, employees, and contractors from any claim, damage, or expense (including reasonable attorneys' fees) arising from your violation of these Terms, your conduct during a Call, or your violation of any law or third-party right.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Katallst may update these Terms from time to time. Material changes will be notified to Users through the Platform or by email prior to taking effect. Continued use after the effective date constitutes acceptance.

This Addendum supplements the Terms of Service above and applies specifically to Users approved as Creators.
Creators are approved at Katallst's sole discretion following an identity and background review. Katallst may revoke Creator status at any time for violation of the Terms, this Addendum, or Katallst's Creator guidelines.
Creators provide Calls as independent contractors, not employees. Creators are solely responsible for their own taxes, including issuance of applicable tax forms (e.g., Form 1099) by Katallst where required by law, and for compliance with local laws applicable to their services.
Creators provide Katallst with identity, contact, and payout information as part of the approval and payout process. This information is handled as described in the Privacy Policy and is not shared publicly beyond the Creator's chosen public profile details.
Katallst pays Creators according to the payout schedule and method shown in the Creator dashboard, less applicable platform fees (20% for U.S.-based Creators; 30% for international Creators), using Stripe Connect as its payout processor. This fee may be updated with 30 days' prior notice. To receive payouts, Creators must separately create a Stripe-hosted connected account and agree to Stripe's Connected Account Agreement and related terms; Katallst is not responsible for Stripe's handling of payout funds once transferred. Katallst may withhold a payout pending resolution of a reported violation, fraud investigation, or chargeback dispute involving that Creator's Calls.
Creators agree that all Calls will comply with Section 4 of the Terms (Prohibited Conduct) without exception, regardless of a Fan's request or payment offered. A Creator who engages in prohibited conduct, even at a Fan's request or initiation, is subject to the same enforcement under Section 8.
